Legal Glossary for Business in Ukraine

More than a hundred key terms of Ukrainian law in plain words: courts and procedure, tax, competition and the AMCU, corporate law, contracts, intellectual property and the electricity market. Short, accurate definitions for executives and in-house lawyers.

A

Active consumer

Активний споживач

A consumer that not only consumes but also generates and/or stores electricity.

Learn more

An active consumer may be a business, a household or an energy cooperative. It may sell surplus power and take part in aggregation and demand response. The law provides a self-generation mechanism for active consumers.

Administrative claim

Адміністративний позов

A claim against a public authority, such as the tax service, a regulator or a ministry, challenging its decisions, actions or inaction. It is heard by administrative courts under the Code of Administrative Procedure.

Administrative offence

Адміністративне правопорушення

An unlawful act or omission punishable under the Code of Administrative Offences by a fine, warning and similar penalties. Company officers may be held liable, for example, for tax and financial violations.

Aggregator

Агрегатор

A market participant engaged in aggregation.

Learn more

Aggregation means pooling generation, consumption and/or storage assets to trade electricity or provide services. An independent aggregator is not affiliated with the consumer’s supplier. Its agreements with group members should allocate revenue, liability and data.

Antimonopoly Committee of Ukraine (AMCU)

Антимонопольний комітет України (АМКУ)

The state authority responsible for protecting economic competition.

Learn more

The AMCU clears mergers and concerted practices, investigates competition law infringements and imposes fines. Its status is set by a dedicated law, and its decisions can be appealed to the commercial courts.

Appeal

Апеляційна скарга

A challenge to a first-instance judgment heard by a court of appeal, which reviews both facts and law and may give a new judgment.

Assignment of a claim

Відступлення права вимоги (цесія)

Substitution of the creditor: the original creditor transfers its claim to a new creditor. The debtor’s consent is usually not required, but the debtor should be notified.

B

Balance responsible party (BRP)

Сторона, відповідальна за баланс (СВБ)

A market participant that is financially responsible for imbalances.

Learn more

Every market participant must either be a BRP or delegate this responsibility to another BRP by joining its balancing group. A BRP signs an imbalance settlement agreement with the TSO and posts collateral. Registration is governed by the Market Rules.

Balancing group

Балансуюча група

A group of market participants whose imbalances are covered by a single balance responsible party.

Learn more

A balancing group lets members offset each other’s imbalances and lower overall costs. The law provides a separate balancing group of the Guaranteed Buyer for renewables. Membership terms and cost sharing are set by the agreement with the group’s BRP.

Balancing service provider (BSP)

Постачальник послуг з балансування (ППБ)

A market participant that meets the requirements to provide balancing services to the TSO.

Learn more

A BSP submits offers to increase or decrease output or load on the balancing market. Generators must provide such services in cases set by law, while consumers and storage operators may do so voluntarily. Requirements are set by the Market Rules.

Bank guarantee

Банківська гарантія

A bank’s undertaking to pay the creditor a set amount on demand if the debtor fails to perform. The guarantee is independent of the main contract and is often required in tenders and on the energy market.

Bid rigging

Спотворення результатів торгів

Anticompetitive concerted practices among tender bidders, such as fixing prices, sharing lots or simulated competition. It is one of the most common violations fined by the AMCU.

Bilateral contract

Двосторонній договір

An agreement for the sale of electricity between two market participants outside the organised segments.

Learn more

Bilateral contracts are concluded by generators, traders and suppliers, excluding supply contracts with consumers. Contracted volumes are registered with the TSO under the Market Rules. The parties agree price, schedules and credit support themselves.

C

Cassation appeal

Касаційна скарга

A challenge to the Supreme Court against first-instance and appeal judgments. Cassation reviews only the application of law; no new evidence is examined.

Commercial metering

Комерційний облік електроенергії

Measuring and recording electricity volumes for settlement between market participants.

Learn more

Metering data underpins invoices, imbalance settlement and renewable support payments. The rules are set by the Commercial Metering Code, and data errors frequently lead to disputes.

Compliance

Комплаєнс

A set of measures ensuring that a company acts in line with the law and its internal rules.

Learn more

For an energy market participant, compliance covers licence conditions, market rules, competition law, sanctions and data protection, through policies, training and internal controls. Good compliance reduces risk during inspections.

Concentration (merger)

Концентрація

Acquiring control over an undertaking, a merger or the creation of a joint venture.

Learn more

If the parties exceed statutory thresholds, prior AMCU clearance is required. Closing without clearance is an infringement that may lead to a fine. In energy, clearance is often needed for acquisitions of plants or their owners.

Counterclaim

Зустрічний позов

A claim by the defendant against the claimant that is connected with the original claim and is heard together with it in the same proceedings.

Court fee

Судовий збір

A mandatory payment for filing a claim, appeal or application. Rates are set by a dedicated law; at the end of the case the losing party reimburses it.

Creditor claims

Кредиторські вимоги

Monetary claims lodged by creditors in insolvency within a set deadline and, once admitted, entered in the register of claims. Their ranking determines whether the debt will be repaid.

Curtailment

Обмеження (розвантаження) генерації

Instructions from the transmission system operator to reduce output to keep the power system secure. Payment or compensation for curtailment is governed by the Market Rules and contracts.

Customs IP register

Митний реєстр об’єктів ІВ

A register in which the right holder records trademarks and other IP objects so that customs can suspend imports or exports of counterfeit goods.

D

Day-ahead market (DAM)

Ринок «на добу наперед» (РДН)

The organised market segment where electricity is traded for the next day.

Learn more

On the DAM participants submit bids and offers for each settlement period of the following day. The market operator then sets prices and volumes. DAM prices are often used as a reference in bilateral contracts and PPAs.

Distribution system operator (DSO)

Оператор системи розподілу (ОСР)

The entity responsible for operating, maintaining and developing a distribution system.

Learn more

The DSO delivers electricity over lower-voltage networks to consumers in its area. It connects new facilities, handles commercial metering on its network and runs the supplier switching process. Relations with the DSO are governed by the Distribution System Code and the Retail Market Rules.

Double tax treaty

Угода про уникнення подвійного оподаткування

An international treaty allocating taxing rights between states that may reduce withholding tax rates. To apply it, the non-resident confirms residence and beneficial ownership of the income.

E

EFET agreement

Договір EFET

A standard master agreement for wholesale energy trading developed by the European Federation of Energy Traders.

Learn more

EFET sets standard terms on delivery, payment, credit support and early termination with netting. It is used in Ukraine too, but needs adapting to local regulation, tax and currency rules, otherwise some provisions may not work.

EIC code

EIC-код

An Energy Identification Code under the ENTSO-E standard assigned to market participants, metering points and other objects. It is required for market registration.

Energy storage facility

Установка зберігання енергії (УЗЕ)

An electrical installation in which energy is stored.

Learn more

A storage facility draws electricity from the grid or from generation and releases it later. It can trade on the electricity markets and provide ancillary and balancing services. The rules were introduced by a dedicated amending law on energy storage.

Enforcement proceedings

Виконавче провадження

The actions of an enforcement officer to compel compliance with court decisions.

Learn more

Enforcement is carried out by state or private enforcement officers under the Law “On Enforcement Proceedings”. Without effective enforcement, even a won case returns no money.

F

Feed-in tariff (“green” tariff)

«Зелений» тариф

A special tariff at which the Guaranteed Buyer purchases electricity generated from alternative sources.

Learn more

NEURC sets the feed-in tariff for each facility in line with the law. Its level depends on the energy source and the commissioning date. Support terms have been amended several times, so it matters which version of the rules applies to a given plant.

Financial collateral

Фінансове забезпечення на ринку

Security (a bank guarantee or cash deposit) that a market participant provides to the market operator or TSO to secure its payment obligations.

Force majeure

Форс-мажор

Extraordinary and unavoidable circumstances that objectively prevent performance.

Learn more

Grid connection

Приєднання до електричних мереж

The procedure for connecting a customer’s installation to a system operator’s network.

Learn more

Connection is made under an agreement and technical conditions. The procedure, timelines and charges are set by the Transmission System Code and the Distribution System Code, and operator breaches can be challenged before the regulator or in court.

Guarantee of origin

Гарантія походження

An electronic document confirming that a given volume of electricity was produced from renewable sources.

Learn more

A guarantee of origin is generated from data in the relevant register. It confirms the environmental value of the electricity and the related rights. Guarantees of origin are used in corporate PPAs and sustainability reporting.

Guaranteed Buyer

Гарантований покупець

The market participant that purchases electricity under the feed-in tariff and performs other statutory functions.

Learn more

The Guaranteed Buyer contracts with producers holding a feed-in tariff or support won at auction. It also pays the market premium and performs certain public service obligations. Its payment delays are among the most common causes of disputes in the renewable sector.

H

I

Imbalance

Небаланс електричної енергії

The difference between a balance responsible party’s actual injection or offtake and its registered purchases and sales.

Learn more

Imbalances are calculated for each settlement period under the Market Rules. The balance responsible party pays the TSO for them or receives payment. Forecast accuracy and metering data directly affect the charges.

Incoterms

The market operator runs auctions and continuous trading on the DAM and IDM, determines prices and volumes and settles trades. Its activity is licensed. Participants must sign agreements with it and provide collateral.

Market premium

Ринкова премія

A support scheme under which the producer sells on the market and the Guaranteed Buyer pays the difference up to the tariff or auction price.

Learn more

Under the market premium, the Guaranteed Buyer pays the producer the difference between the feed-in tariff or auction price and the market price, while the producer sells its output on the market itself. Switching changes the risk profile and needs legal analysis.

Market Rules

Правила ринку

The NEURC act governing the balancing market and imbalance settlement.

Learn more

The Market Rules set out participant registration, balancing market operation, imbalance settlement and collateral. All wholesale participants must comply, and the regulator amends them regularly.

Mediation

Медіація

An out-of-court dispute resolution process involving a neutral mediator.

Learn more

Mediation is voluntary and confidential, and the parties make the decisions themselves. In Ukraine it is governed by the Law “On Mediation”. For long-term energy contracts it helps preserve the business relationship.

Self-generation mechanism

Механізм самовиробництва

A support scheme for active consumers that offsets the value of power fed into the grid against the value of power consumed.

Learn more

Under self-generation, the value of electricity injected by the consumer’s generating units is netted against the value of electricity taken from the grid, taking transmission and distribution charges into account. It is designed for own consumption, not commercial generation.

Supplier of last resort

Постачальник «останньої надії»

A supplier that, in circumstances set by law, may not refuse a consumer a contract for a limited period.

Learn more

The supplier of last resort ensures continuity of supply, for example when the consumer’s supplier exits the market. The contract is temporary, during which the consumer must choose another supplier.

Suspension of VAT invoice registration

Зупинення реєстрації податкових накладних

The tax authority suspending registration of a VAT invoice under risk criteria.

Learn more

Tax assessment notices usually follow an audit. They can be challenged administratively before a higher tax authority or in the administrative court, under the procedure and deadlines of the Tax Code.

Tax audit

Податкова перевірка

Trademark

Торговельна марка

A sign that distinguishes one business’s goods or services from those of others.

Learn more

Trademark rights in Ukraine are evidenced by a certificate issued by the national IP office. Registration makes it easier to stop copycats, and for suppliers and traders the brand is often a key asset.

Ultimate beneficial owner (UBO)

Кінцевий бенефіціарний власник

The individual who exercises decisive influence over a company.

Learn more

UBO information must be filed with the state register. The regulator and banks review ownership structures, including during licensing and financing, and incomplete or inaccurate data creates regulatory risk.

Unfair competition

Недобросовісна конкуренція
